Sublease Agreement
Sublease of all or part of a tenant's leased space to a subtenant.
When to use
Use when an existing tenant wants to sublease space to another party. Requires the original landlord's consent — check the master lease for subletting restrictions.

SUBLEASE AGREEMENT
This Sublease Agreement (this "Sublease") is entered into as of {{effective_date}} by and between {{sublessor_name}} ("Sublessor") and {{sublessee_name}} ("Sublessee").
1. MASTER LEASE
Sublessor is the tenant under a lease dated {{master_lease_date}} (the "Master Lease") with {{master_landlord_name}} ("Landlord") for the premises located at {{premises_address}}. A copy of the Master Lease has been made available to Sublessee, and Sublessee acknowledges receipt.
2. SUBLEASED PREMISES
Sublessor subleases to Sublessee {{subleased_portion}} of the premises (the "Subleased Premises").
3. TERM
The term of this Sublease begins on {{sublease_start_date}} and ends on {{sublease_end_date}}, unless terminated earlier in accordance with this Sublease or the Master Lease.
4. RENT
Sublessee shall pay Sublessor rent of {{monthly_rent}} per month, payable in advance on the first day of each month. Sublessee shall also pay {{additional_rent_description}} as additional rent.
5. SECURITY DEPOSIT
Upon execution, Sublessee shall pay Sublessor a security deposit of {{security_deposit}}, to be returned within 30 days after the Sublease ends, less any lawful deductions.
6. INCORPORATION OF MASTER LEASE
Except as modified by this Sublease, all terms of the Master Lease are incorporated by reference and apply to Sublessee as if Sublessee were the tenant under the Master Lease. Sublessee shall comply with all obligations of the tenant under the Master Lease as they apply to the Subleased Premises.
7. LANDLORD CONSENT
This Sublease is contingent upon the Landlord's written consent. If Landlord does not consent within {{consent_deadline_days}} days, either Party may terminate this Sublease and Sublessor shall refund any deposit and pre-paid rent.
8. USE
Sublessee shall use the Subleased Premises solely for {{permitted_use}} and shall not use the Subleased Premises in any manner prohibited by the Master Lease.
9. INSURANCE
Sublessee shall maintain commercial general liability insurance with limits of at least {{liability_insurance_amount}} per occurrence, naming both Sublessor and Landlord as additional insureds.
10. NO FURTHER SUBLETTING
Sublessee shall not further sublet the Subleased Premises or assign this Sublease without the prior written consent of both Sublessor and Landlord.
11. SURRENDER
Upon expiration or earlier termination, Sublessee shall surrender the Subleased Premises in the condition received, reasonable wear and tear excepted.
12. GOVERNING LAW
This Sublease is governed by the laws of {{governing_law_state}}.
