COMMERCIAL LEASE AGREEMENT
This Commercial Lease Agreement (this "Lease") is entered into as of {{effective_date}} by and between {{landlord_name}} ("Landlord") and {{tenant_name}} ("Tenant").
1. PREMISES
Landlord leases to Tenant, and Tenant leases from Landlord, the premises located at {{premises_address}} (the "Premises"), consisting of approximately {{premises_size}} square feet.
2. TERM
The initial term of this Lease is {{lease_term_years}} year(s), beginning on {{lease_start_date}} (the "Commencement Date") and ending on {{lease_end_date}} (the "Expiration Date").
3. RENT
Tenant shall pay Landlord base rent of {{monthly_rent}} per month, payable in advance on the first day of each month. Rent is pro-rated for any partial month. Any rent paid more than {{late_rent_days}} days after the due date is subject to a late fee of {{late_fee}}.
4. SECURITY DEPOSIT
Upon execution of this Lease, Tenant shall pay Landlord a security deposit of {{security_deposit}} to secure Tenant's performance under this Lease. Landlord shall return the deposit within {{deposit_return_days}} days after the Expiration Date, less any amounts lawfully withheld for damages or unpaid rent.
5. USE
Tenant shall use the Premises solely for {{permitted_use}} and for no other purpose without Landlord's prior written consent. Tenant shall comply with all applicable laws and shall not commit waste or nuisance.
6. MAINTENANCE AND REPAIRS
Tenant is responsible for routine maintenance of the interior of the Premises, including keeping it clean and in good condition. Landlord is responsible for structural elements, the roof, exterior walls, and building systems (HVAC, electrical, plumbing) serving the building as a whole.
7. UTILITIES
Tenant shall pay for all utilities and services used at the Premises, including {{tenant_utilities}}. Landlord shall pay for {{landlord_utilities}}.
8. INSURANCE
Tenant shall maintain commercial general liability insurance with limits of at least {{liability_insurance_amount}} per occurrence, naming Landlord as an additional insured. Tenant shall provide proof of insurance upon Landlord's request.
9. ASSIGNMENT AND SUBLETTING
Tenant shall not assign this Lease or sublet the Premises without Landlord's prior written consent, which shall not be unreasonably withheld.
10. DEFAULT AND REMEDIES
Tenant is in default if Tenant (a) fails to pay rent within {{default_cure_days}} days after written notice from Landlord, or (b) materially breaches any other obligation and fails to cure within 30 days after written notice. Upon default, Landlord may terminate this Lease and pursue any other remedies available at law.
11. SURRENDER
Upon the Expiration Date or earlier termination, Tenant shall surrender the Premises in the condition received, reasonable wear and tear excepted.
12. GOVERNING LAW
This Lease is governed by the laws of {{governing_law_state}}.
